Terms of Service

Effective Date: June 25, 2026

These Terms of Service ("Terms") are a binding agreement between Sunate, Inc. ("Sunate," "we," "us," or "our") and the person or organization that accesses or uses the Services ("Customer," "you," or "your").

By creating an account, accepting an order, or using the Services, you agree to these Terms, our Privacy Policy, Acceptable Use Policy, and any applicable order form or product-specific terms.

1. Eligibility and business use

You must be at least 18 years old and legally able to enter into a contract. The Services are intended primarily for business and professional use.

If you use the Services for an organization, you represent that you have authority to bind that organization. You are responsible for ensuring that your authorized users comply with these Terms.

2. The Services

Sunate may provide features for customer relationship management, contacts, deals, tasks, notes, files, estimates, proposals, reports, websites, forms, scheduling, messaging, email, electronic signatures, payments, accounting connections, property and lead data, and an AI assistant known as Sunate Copilot.

Features may be released as trial, beta, preview, or early-access functionality. Such features may change, be incomplete, or be discontinued.

3. Accounts and workspaces

You must provide accurate information, keep credentials confidential, and promptly update information that changes.

You are responsible for:

  • Activity under your account.

  • User roles, permissions, invitations, and removal.

  • Secure devices, passwords, authentication, and recovery methods.

  • Configuring messaging, integrations, data access, exports, and workspace settings.

  • Promptly notifying Sunate of suspected unauthorized access.

An organization owner or administrator may control a workspace, access workspace content, invite or remove users, and configure permissions.

4. Orders, fees, subscriptions, and taxes

Commercial terms may appear in a checkout page, order form, proposal, or separately signed agreement ("Order"). An Order controls if it expressly conflicts with these Terms.

Paid subscriptions may be billed on a recurring, usage, seat, module, or order basis. Unless an Order states otherwise:

  • Subscriptions renew automatically for the same billing period until canceled.

  • You authorize Sunate and its payment provider to charge applicable fees, taxes, usage, and approved add-ons.

  • Fees already paid are non-refundable except where required by law.

  • Sunate may suspend paid features for overdue amounts after reasonable notice.

  • You are responsible for applicable taxes other than taxes based on Sunate's net income.

5. Customer Data

"Customer Data" means information, content, files, communications, contacts, and records submitted to or generated within a Customer workspace, excluding Sunate technology and properly aggregated or de-identified service data.

As between the parties, Customer retains its rights in Customer Data. Customer grants Sunate and its providers a limited, worldwide, non-exclusive right to host, copy, transmit, transform, display, and otherwise process Customer Data as necessary to:

  • Provide, secure, maintain, and support the Services.

  • Follow Customer's authorized instructions.

  • Prevent fraud and abuse.

  • Comply with law.

  • Improve the Services as permitted by applicable law and our agreements.

Customer represents that it has all rights, notices, permissions, and lawful bases needed for Sunate to process Customer Data as instructed.

6. Sunate Copilot and AI features

Copilot and other AI features may interpret requests, generate content, summarize information, recommend actions, and use enabled tools or integrations.

AI output may be inaccurate, incomplete, outdated, biased, or unsuitable. You are responsible for reviewing output and confirming material actions before relying on or sending them.

Sunate does not provide legal, tax, accounting, engineering, architectural, medical, insurance, financial, code-compliance, or safety advice. Measurements, scopes, prices, recommendations, permits, property information, and contract terms must be independently verified where appropriate.

You may not use AI output as the sole basis for a decision that produces legal or similarly significant effects for an individual, including decisions about employment, housing, credit, insurance, education, healthcare, or access to essential services.

7. Messaging and communications compliance

Sunate account-holder messaging

Sunate may offer a separate, optional SMS program for existing Sunate account holders. SMS consent is not included merely by agreeing to these Terms and is not a condition of purchase or use. The program is governed by the SMS Terms.

Customer communications

When Customer uses the Services to call, email, text, message, or otherwise contact Customer's own recipients, Customer is the sender and is solely responsible for:

  • Determining whether each communication is lawful.

  • Obtaining and preserving required consent.

  • Providing required disclosures.

  • Identifying the actual sender.

  • Maintaining do-not-call and suppression lists.

  • Honoring opt-outs and consent revocation promptly.

  • Following quiet hours, frequency limits, carrier rules, and applicable laws.

  • Registering the appropriate brand, campaign, number, domain, or template where required.

Contact information available through Sunate does not itself establish consent to communicate.

Customer may not use Sunate's own brand registration or account-holder campaign as authority to message homeowners, leads, or other third parties.

8. Property, lead, and enrichment data

Some Services may provide property, public-record, owner, business-contact, permit, geographic, demographic, energy, financial, or other lead-related information obtained from public records, licensed sources, Customer data, or automated estimates.

Such information may be incomplete, stale, inferred, or incorrect. Sunate does not guarantee that a person owns or occupies a property, that contact information is current, or that a lead is interested.

The Services and data are not consumer reports and may not be used for credit, lending, insurance, employment, tenant screening, housing eligibility, government benefits, or another purpose regulated by the Fair Credit Reporting Act or similar law.

Customer may not use Sunate data to discriminate unlawfully, exploit vulnerable people, or target, exclude, rank, or treat individuals based on protected characteristics or sensitive information in violation of law.

9. Third-party services and integrations

The Services may connect with third-party products, networks, carriers, data providers, payment processors, AI providers, email and calendar services, accounting systems, storage providers, mapping services, electronic-signature tools, suppliers, and other integrations.

Your use of a third-party service is also governed by that provider's terms and privacy practices. You authorize Sunate to exchange information with an integration as necessary to perform the actions you request.

Sunate is not responsible for third-party services, outages, changes, data practices, or acts and omissions.

10. Acceptable use

You must comply with the Acceptable Use Policy. You may not:

  • Use the Services unlawfully, deceptively, abusively, or to violate another person's rights.

  • Access another tenant, account, system, or data without authorization.

  • Introduce malware or interfere with the Services.

  • Bypass limits, billing, permissions, security, or safety controls.

  • Scrape or reverse engineer the Services except where law does not allow restriction.

  • Send spam, unlawful automated communications, or messages after opt-out.

  • Use Sunate data for prohibited eligibility, discrimination, or surveillance purposes.

Sunate may investigate, filter, block, throttle, suspend, or terminate activity that creates legal, security, deliverability, or provider risk.

11. Intellectual property

Sunate and its licensors own the Services, software, interfaces, models, workflows, documentation, designs, trademarks, and related intellectual property.

Subject to these Terms and payment of applicable fees, Sunate grants Customer a limited, non-exclusive, non-transferable, revocable right to use the Services during the applicable term for Customer's internal business operations.

If you provide feedback, you grant Sunate a perpetual, worldwide, royalty-free right to use it without restriction or compensation, provided we do not publicly identify you as the source without permission.

12. Confidentiality

Each party may receive nonpublic information that a reasonable person would understand to be confidential.

The receiving party will:

  • Use confidential information only for the relationship.

  • Protect it using reasonable care.

  • Disclose it only to personnel and providers who need it and are bound by confidentiality obligations.

These duties do not apply to information that is public through no breach, already lawfully known, independently developed, or lawfully received from another source.

13. Security

Sunate uses administrative, technical, and organizational safeguards designed to protect the Services and Customer Data. No service is completely secure.

Customer is responsible for strong authentication, appropriate permissions, secure devices, lawful integrations, prompt user offboarding, and copies of critical records.

14. Suspension and termination

You may stop using the Services and may cancel paid subscriptions through available account controls or by contacting us. Cancellation stops future renewal but does not eliminate amounts already due.

Sunate may suspend or terminate access if:

  • You materially breach these Terms.

  • Fees are overdue.

  • Use creates legal, security, deliverability, or provider risk.

  • Continued service would violate law or a provider requirement.

  • You threaten the Services, recipients, users, or third parties.

Where practical, Sunate will provide notice and an opportunity to cure.

After termination, access may end. Customer may request an available export before deletion, subject to law, technical limits, retention practices, and the applicable agreement.

15. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES, DATA, AI OUTPUT, BETA FEATURES, AND THIRD-PARTY INTEGRATIONS ARE PROVIDED "AS IS" AND "AS AVAILABLE." SUNATE DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE.

Sunate does not warrant that the Services will be uninterrupted, error-free, secure, or suitable for a particular project, or that use will produce leads, sales, revenue, rankings, approvals, or other results.

16. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, BUSINESS OPPORTUNITY, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY.

Except for payment obligations, misuse of intellectual property, breach of confidentiality, indemnity obligations, or liability that cannot legally be limited, each party's total liability arising from the Services will not exceed the amounts Customer paid Sunate for the affected Services during the 12 months before the event giving rise to the claim.

17. Indemnity

Customer will defend and indemnify Sunate and its affiliates, officers, directors, employees, and agents from third-party claims, fines, penalties, damages, and reasonable expenses arising from:

  • Customer Data.

  • Customer communications, campaigns, websites, or services.

  • Customer's violation of law or these Terms.

  • Customer's violation of another person's rights.

  • Instructions Sunate follows on Customer's behalf.

Sunate will provide reasonable notice and cooperation.

18. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules.

Before filing a formal claim, the parties will try in good faith for at least 30 days to resolve the dispute after written notice describing the issue and requested relief.

Unless applicable law or a signed agreement requires otherwise, state and federal courts located in Delaware will have exclusive jurisdiction.

19. General terms

These Terms and incorporated documents are the complete agreement regarding the Services unless a signed agreement states otherwise.

If a provision is unenforceable, the remainder remains effective. Failure to enforce a provision is not a waiver.

You may not assign these Terms without Sunate's consent, except in connection with a merger or sale of substantially all assets. Sunate may assign these Terms in connection with a reorganization, financing, merger, acquisition, or asset transfer.

Neither party is liable for delay caused by events beyond reasonable control.

20. Changes and contact

We may update these Terms as the Services or law changes. We will post the revised Terms and update the effective date. We may provide additional notice for material changes.
